VNTR Securities LLC ("VNTR") is a broker-dealer registered with the U.S. Securities and Exchange Commission ("SEC") and a member of the Financial Industry Regulatory Authority ("FINRA") and the Securities Investor Protection Corporation ("SIPC"). VNTR is a wholly-owned subsidiary of Manhattan Venture Holdings, LLC d/b/a Manhattan Venture Partners ("MVP"), which is also the sole owner of MVP Manager, LLC ("MVP Manager"), an investment adviser registered with the SEC. VNTR and MVP Manager are affiliated through common ownership and control; VNTR receives compensation, including placement fees, in connection with the offer and sale of interests in funds managed by MVP Manager, which presents a conflict of interest. VNTR does not offer brokerage services to retail investors generally. VNTR offers private placements to accredited investors in funds managed by MVP Manager and facilitates private secondary transactions between buyers and sellers of previously-issued securities. VNTR does not maintain customer funds or accounts, does not monitor your investments after purchase, and has no discretion over your investment decisions; the decision whether to invest is yours alone.

If VNTR makes a recommendation to a natural person investing for household purposes, VNTR is required to act in their best interest and not place its own interest ahead of yours, in accordance with Regulation Best Interest. At the same time, the way VNTR is compensated creates conflicts of interest that can affect the recommendations you receive: VNTR may act as the agent of both the buyer and seller in a particular transaction and receive compensation from one side or both, in an amount that varies by transaction, and VNTR's financial professionals are compensated in part based on the volume of securities they sell, which creates an incentive to recommend investments that may not align with your interests. VNTR will make its own assessment of whether an investment is suitable for you and may decline to sell to you based on that assessment.
